Terms of Service

1. Acceptance of Terms

By accessing or using HavenPilot ("the Platform"), you agree to be bound by these Terms of Service. If you are using HavenPilot on behalf of an estate or organisation, you confirm that you have the authority to bind that organisation to these terms.

2. Description of Service

HavenPilot provides a SaaS-based estate management platform including visitor management, security operations, financial management, amenity booking, maintenance tracking, and community communication tools for residential estates and HOAs.

3. Account Responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must notify HavenPilot immediately of any unauthorised access to your account.
  • Estate administrators are responsible for ensuring that all users on their estate comply with these terms.
  • You must provide accurate and complete information during registration.

4. Acceptable Use

You must not use HavenPilot to:

  • Process personal data for purposes not disclosed in these terms or your estate's privacy notice.
  • Harass, threaten, or harm other users or residents.
  • Attempt to gain unauthorised access to other estates' data or system infrastructure.
  • Upload malicious code, conduct denial-of-service attacks, or interfere with platform operations.
  • Violate applicable Nigerian law, including NDPR 2019, EFCC Act, or cybercrime provisions.

5. Data and Privacy

Use of personal data through HavenPilot is governed by our Privacy Policy. Estate administrators who process personal data of residents, staff, and visitors act as data processors under NDPR 2019, and must ensure their own compliance obligations are met. HavenPilot serves as both a data controller (for platform-level data) and a data processor (for estate-specific data processed on behalf of estate operators).

6. Subscription and Payment

  • Access to HavenPilot requires a paid subscription as per the current pricing published on the platform.
  • Subscriptions are billed monthly or annually in advance.
  • Failure to pay may result in suspension of access after a 14-day grace period with notice.
  • Refunds are not provided for partial subscription periods unless required by applicable law.
  • Prices may be adjusted with 30 days' written notice.

7. Intellectual Property

HavenPilot and all associated software, designs, and content remain the intellectual property of HavenPilot. You are granted a limited, non-exclusive licence to use the Platform for the purposes described in these terms. You retain ownership of all data you input into the Platform.

8. Service Availability

HavenPilot targets 99.9% uptime. Scheduled maintenance will be communicated in advance. We are not liable for interruptions caused by events outside our reasonable control (force majeure), including power grid failures, internet infrastructure outages, or third-party service disruptions.

9. Security Incidents

Estate administrators must notify HavenPilot of any suspected data breach or security incident involving the Platform. HavenPilot will fulfil its NDPR obligation to notify NITDA within 72 hours of confirmed data breaches affecting personal data.

10. Limitation of Liability

To the maximum extent permitted by Nigerian law, HavenPilot's total liability for any claim arising from these terms shall not exceed the subscription fees paid in the 3 months preceding the claim. HavenPilot is not liable for indirect, incidental, or consequential damages, including loss of profits or data.

11. Termination

Either party may terminate the subscription with 30 days' written notice. HavenPilot may suspend or terminate access immediately for material breach, including violation of the acceptable use policy or non-payment. Upon termination, estate data will be retained for 30 days for export, then deleted.

12. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall be resolved first through good-faith negotiation, then by arbitration under the Arbitration and Conciliation Act (Cap A18 LFN 2004) or, failing that, by the courts of Lagos State, Nigeria.

13. Changes to Terms

We may update these terms with 14 days' notice via in-app notification. Continued use after the notice period constitutes acceptance.
